The position works directly with C-suite executives and corporate attorneys, and also works with internal teams to keep customer, carrier, vendor, and other business agreements accurate, current, and moving through the approval process. Strong attention to detail, sound judgment, timely professional communication, digital document editing skills, and experience with DocuSign are essential.

Review documents for completeness, consistency, and accuracy before routing them for approval or signature.
Perform first-level review of customer (shipper)-drafted agreements against the company’s contract playbook and approved fallback positions, identifying deviations in key risk terms such as limitation of liability and cargo claims, indemnification, insurance requirements, payment and credit terms, consequential damages, termination, governing law, and non-solicitation.
Prepare proposed redlines and a short issue summary (customer language vs. company standard, with recommended position) for the President’s review and approval before any document is returned to a customer.
Compare customer insurance requirements (e.g., auto liability, cargo, general liability, contingent coverages, additional insured, and waiver of subrogation) to the company’s current coverage, and coordinate certificate of insurance requests with the company’s insurance agent.
Confirm the correct contracting entity, legal names, MC/DOT numbers, and signature authority on all agreements.
Make digital edits to Word and PDF documents, including revisions, tracked changes, and version updates.
Prepare and send documents through DocuSign; track signature status and follow up on outstanding items.
Coordinate with C-suite executives, corporate attorneys, sales, operations, and finance to support contract review and execution.
Prepare clear, concise contract briefings and issue summaries for C-suite executives and corporate attorneys; implement attorney-directed revisions accurately and track each open item to resolution.
Maintain organized electronic contract records in the company’s contract repository, using consistent naming and version control, including executed agreements, amendments, correspondence, and supporting documentation.
Track contract deadlines, renewals, notice-of-termination windows, certificate of insurance expirations, and outstanding approvals, and provide timely updates to internal stakeholders.
Maintain a contract status log and provide the President with a weekly report of agreements in review, open issues, cycle time, and approvals.
Maintain and update the clause library, contract playbook, and standard templates (e.g., Broker-Shipper Agreement, Broker-Carrier Agreement, NDA) as approved by leadership.
Respond to routine contract-related questions and escalate questions involving legal terms, risk, or policy to the President, C-suite executives, or corporate attorneys.
This position does not provide legal advice or approve contract terms. Final approval and signature authority rest with the President or a designated officer.
